The following definitions apply.
Assignment means the period during which the carer is supplied to render services.

The Carer works as a sole trader.

Terms of Business with Clients.
1. THE CONTRACT.
These Terms constitute the contract between the Business and the Client, for
the supply of agreed Carer services, and are deemed to be accepted by the Client
by virtue of their request. Terms and conditions may be changed at any time and
without prior notice by the Business.
2. CHARGES. The
Client agrees to pay the hourly rate and any other charges that might occur.
The charges are calculated by the number of hours worked by the Carer and are
invoiced in advance. The Business reserves the right to charge 5% above the
base rate per month for any outstanding amount. Payment from the date of invoice or
in the first few days of starting care.
Bank Holidays: Please note that our rates are doubled on Bank Holidays, reflecting the increased demand and staffing requirements during these special days.
3. TIME.
The invoice will indicate the days and hours worked by the Carer.
4. LIABILITY. Whilst every effort is made by the Business to give satisfaction to the Client
by ensuring reasonable standards of skills, integrity and reliability from Carers
and further to provide them in accordance with the Client's booking details,
the Business is not liable for any issue, loss, expense, damage or delay
arising from any failure to provide any Carer for all or part of the period of
booking or from the negligence, dishonesty, misconduct or lack of skill of the
Carer in any way. For the avoidance of doubt, the Business is not liable for
death, personal injury or any other claims or complaints arising from its own
or the Carer's negligence. Any complaints or issues related in any way between
the Client and Carer will be dealt with and resolved between the Client and the
Carer. Carers supplied by the Business are deemed to be self-employed. Carers
provide their own indemnity insurance and are responsible for keeping all their
relevant registration checks valid and up to date, including occupational
health details. The business will not be liable for accidents, loss, damage, or
any other claim whether by the Client or by any third party, arising during the
Carer's duties. Carers are workers for the Business under contracts for
services. They are not the employees of the Business and are deemed to be under
the supervision, direction, and control of the Client from the time they report
to take up duties and for the duration of the Assignment. Upon commencement of
Assignment, the Client agrees to be fully satisfied with the Carers
documentation, registration to practice, occupational health details and any
other relevant checks, whether the Business has supplied this or not. The
Client agrees to be responsible for all acts, errors, or omissions of the Carer,
whether wilful, negligent, or otherwise as though she/he was on the payroll of
the Client. This includes the Client fully complying with any responses to
complaints, correspondence or costs related to the Carer, his or her action or responsibilities,
at any time. For the avoidance of doubt, the Business is not liable for any
cost, claim, correspondence or anything to do with the Carer's actions, duties,
or responsibilities whilst before, on or after any Assignment. The Client will
also comply in all respects with all statutes including, for the avoidance of
doubt, the Working Time Regulations, Health and Safety At Work Act etc,
by-laws, codes of practice and legal requirements to which the Client is
ordinarily subject in respect of the Client, including in particular the
provision of adequate Employer's and Public Liability Insurance cover for the Carer
during all Assignments. The Client shall advise the business of any special
health and safety matters about which the Business is required to inform the Carer.
The Client will assist the Business in complying with the Business duties under
the Working Time Regulations by supplying any relevant information about the
Assignment requested by the Business and the Client will not do anything to
cause the Business to be in breach of its obligations under these Regulations.
The Client shall indemnify and keep indemnified the Business against any costs,
claims or liabilities incurred by the Business arising out of any Assignment or
arising out of any non-compliance and/or as a result of any breach of these
Terms by the Client or Carer at any time, including after an Assignment.
Terms by the Client or Carer at any time, including after an
Assignment.
Termination: The client is responsible for supervising the carer to ensure satisfaction with the quality of work. If the client finds the carer's services unsatisfactory and wishes to terminate the carer, the client must first discuss this with the care service. The client should not approach the carer directly about termination before consulting the care service. If a carer has been working with a client for over three months, the client must give two weeks' notice.
The Client shall not contact the Carer directly after
leaving a contract assignment if so, the business will ask for loss of business
for the duration of the term offered by the client.

any time whether this section is signed or not implies acceptance of the above
